Terms of Service

1. Agreement to Terms

By accessing or using the Smart Maintenance Assistant (OpexMx) operated by Opex Consulting Group ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access or use our service.

These Terms apply to all users, including visitors, customers, and others who access or use OpexMx.

2. Description of Service

OpexMx is a cloud-based Computerized Maintenance Management System (CMMS) that provides:

• Preventive, predictive, and condition-based maintenance management
• Work order and ticketing system
• Parts and inventory management
• Equipment and asset tracking
• Reporting and analytics
• Documentation and knowledge management
• Mobile access and notifications

We reserve the right to modify, suspend, or discontinue any aspect of the service at any time with or without notice.

3. Account Registration

To use OpexMx, you must:

• Provide accurate, current, and complete information during registration
• Maintain and update your account information to keep it accurate
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access or security breach

You must be at least 18 years old and have the legal capacity to enter into contracts to create an account.

4. Subscription and Payment

4.1 Subscription Plans

OpexMx is offered on a subscription basis. Subscription fees are billed monthly or annually as selected. Pricing is based on usage metrics including active users, tracked parts, and critical machines.

4.2 Payment Terms

• Payment is due in advance for each billing period
• All fees are non-refundable except as required by law
• We reserve the right to change pricing with 30 days' notice
• Failure to pay may result in service suspension or termination

4.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You will retain access to the service until the end of the paid period.

5. Acceptable Use

You agree not to:

• Use the service for any illegal purpose or in violation of any laws
• Transmit any malicious code, viruses, or harmful software
• Attempt to gain unauthorized access to the service or related systems
• Interfere with or disrupt the service or servers
• Reverse engineer, decompile, or disassemble any part of the service
• Use automated systems to access the service without authorization
• Share your account credentials with unauthorized parties
• Upload content that infringes on intellectual property rights
• Use the service to store or process sensitive data without proper authorization

6. Intellectual Property

The service, including all software, designs, text, graphics, and other content, is owned by Opex Consulting Group and protected by copyright, trademark, and other intellectual property laws.

You retain ownership of data you upload to OpexMx. By using the service, you grant us a license to use, store, and process your data solely for the purpose of providing and improving the service.

7. Data and Privacy

Your use of OpexMx is also governed by our Privacy Policy. We implement security measures to protect your data, but you are responsible for:

• Backing up your data regularly
• Ensuring compliance with applicable data protection laws
• Obtaining necessary consents for data you upload
• Maintaining appropriate access controls

8. Service Availability

We strive to maintain high service availability but do not guarantee uninterrupted or error-free operation. The service may be unavailable due to:

• Scheduled maintenance and updates
• Unforeseen technical issues
• Force majeure events
• Third-party service dependencies

We are not liable for any damages resulting from service unavailability.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OpexMx IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption, arising from your use of or inability to use the service.

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Opex Consulting Group and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the service, violation of these Terms, or infringement of any rights of another.

11. Termination

We may terminate or suspend your account and access to the service:

• Immediately, if you breach these Terms
• Upon non-payment of fees
• If you engage in fraudulent or illegal activity
• At our discretion, with 30 days' notice

Upon termination, your right to use the service ceases immediately. We may delete your account and data after a reasonable retention period, subject to legal requirements.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of OpexMx after such changes constitutes acceptance of the updated Terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
